End User License Agreement

This End User License Agreement ("EULA") is between you and Lunana Global Inc., doing business as Audio Simple ("we", "us"), and governs your use of the Audio Simple app for iPhone (the "app"). Our Terms of Use and Privacy Policy also apply. By downloading or using the app you accept this EULA. If you do not accept it, do not use the app.
1. Acknowledgement
This EULA is concluded between you and Lunana Global Inc. only, and not with Apple Inc. ("Apple"). Lunana Global Inc., not Apple, is solely responsible for the app and its content. If anything in this EULA conflicts with the Usage Rules in the Apple Media Services Terms and Conditions, those Usage Rules prevail.
2. License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
You may not rent, lease, lend, sell, redistribute or sublicense the app; copy, modify or create derivative works of it; or decompile, reverse engineer or disassemble it, except where the law expressly permits this despite this restriction. The app is licensed, not sold, and we keep all rights not expressly granted.

4. Safe and lawful use
The app makes sound louder. Use a comfortable volume, stop if you notice pain, ringing or any change in your hearing, and do not use the app while driving or anywhere you must hear your surroundings. Use it only to hear conversations you are entitled to hear, and never to listen in on others without their consent. The full guidance is in sections 2 and 3 of the Terms of Use and forms part of this EULA.
5. Subscriptions
Audio Simple offers two auto-renewing subscriptions: monthly at $19.99 per month and yearly at $99.99 per year (U.S. prices; the App Store shows the price in your country, which may include tax). Both unlock all features of the app for the length of the subscription.
New subscribers can start with a 3-day free trial. If you do not cancel at least 24 hours before the trial ends, the subscription you chose starts and your Apple ID is charged.
Payment is charged to your Apple ID when you confirm the purchase or, with a free trial, when the trial ends. The subscription renews automatically for the same length and price unless auto-renew is turned off at least 24 hours before the end of the current period, and your account is charged for the renewal within the 24 hours before the period ends.
You can manage or cancel your subscription at any time in your iPhone's Settings: tap your name, then Subscriptions. Cancelling stops future renewals; you keep access until the end of the period you have paid for. Any unused part of a free trial ends when you buy a subscription.
Purchases are processed by Apple under the Apple Media Services Terms. Refunds are handled by Apple at reportaproblem.apple.com; we cannot issue them. If we change a price, Apple will tell you in advance and, where required, ask for your consent before the new price applies.
6. Maintenance and support
Lunana Global Inc. is solely responsible for providing any maintenance and support services for the app, as described on our Support page or as required by law. You and we acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the app.
7. Warranty
Lunana Global Inc. is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the app to you. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
To the fullest extent the law allows, the app is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Results vary, and we do not warrant that the app will make every voice clear, work in every situation, or be uninterrupted or error-free.
8. Product claims
You and we acknowledge that Lunana Global Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
9. Intellectual property rights
In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Lunana Global Inc., not Apple, will be solely responsible for the investigation, defense, settlement and discharge of that claim.
10. Limitation of liability
To the fullest extent the law allows, Lunana Global Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the app, and our total liability is limited to the greater of the amount you paid for the app or its subscription in the 12 months before the claim and 50 U.S. dollars. Some places do not allow these limits, so they may not fully apply to you.
11. Legal compliance
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
12. Third-party terms
You must comply with any applicable third-party terms of agreement when using the app, including the Apple Media Services Terms and Conditions and the terms of your mobile carrier or internet provider.
13. Termination
This EULA applies until you or we end it. You can end it by deleting the app. It ends automatically if you break it. When it ends, you must stop using the app and delete it. Sections 3, 7 to 10 and 14 to 16 survive termination.
14. Third-party beneficiary
You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
15. Governing law
This EULA is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, as set out in section 13 of the Terms of Use. If you are a consumer, you keep any protection the law of your country gives you. If any part of this EULA is found unenforceable, the rest remains in effect.
